Template — to be replaced by counsel
This page is placeholder template text provided so the site is complete. It is not legal advice and has not been reviewed by a lawyer. Replace it with the final version approved by your legal counsel before launch; bracketed items like [Company legal name] must be filled in.
Please read these Terms carefully. They explain how prepaid credits, bonus credits, refunds and orders work on Swaglists.
1. Agreement
These Terms of Service (the “Terms”) form an agreement between [Company legal name] (“Swaglists”, “we”, “us”) and the business or person that creates an account (“you”, the “Merchant”). By creating an account, buying credits, using the dashboard or calling the API you accept these Terms. If you accept on behalf of a company, you confirm you are authorized to bind it.
2. Accounts and security
You must provide accurate information, keep your credentials, API keys and two-factor devices secure and promptly tell us about any unauthorized use. You are responsible for all activity under your account and API keys, including actions by team members you invite.
New accounts start in test mode. Live mode may require a verified email address and, at our discretion, additional review.
3. The service
Swaglists lets you design custom products from our catalog, order them through the dashboard or the API, and have them produced and shipped to your customers under your brand. We may use production facilities and carriers of our choosing to fulfill orders. Test mode is provided for development only: test orders are never produced or shipped and test credits have no value.
4. Prepaid credits
Orders are paid with prepaid credits held in your wallet. One credit equals one US dollar (USD) of products, printing, shipping and applicable taxes at our then-current prices. Credits are purchased by card, ACH bank debit, bank transfer or other methods we offer, subject to the minimum and maximum amounts shown at checkout.
- Credits do not expire while your account is active, are not legal tender, have no cash value except as described in Section 5, and cannot be transferred.
- When an order is placed, its full price is reserved (“held”) from your available balance and captured once the order is accepted for production.
- If an order is canceled before production or cannot be fulfilled, the held or captured credits are returned to your wallet.
- Purchases at or above published thresholds receive bonus credits (for example +3%, +4% or +5%). Bonus tiers may change at any time for future purchases; bonus credits already granted are not affected except as described in Section 5.
- If you enable auto-recharge, you authorize us to charge your saved payment method for the configured amount whenever your balance falls below your threshold.
5. Credit and bonus refund policy (summary)
- Unused paid credits may be refunded on request to the original payment method, up to the amount you paid for that purchase that has not already been refunded and that is still available in your wallet. Bank (ACH) payments may only be refundable in full.
- Bonus credits granted with a purchase are removed in proportion to the refunded amount (for a full refund, the entire bonus is removed). Bonus credits themselves are never refundable for money.
- Spent credits (captured for orders that entered production) are not refundable to your payment method. Accepted claims for damaged or misprinted items are settled as credits to your wallet, as described in Section 6.
- Chargebacks and disputes: if a payment is disputed with your bank, the credits from that purchase (including its bonus) are reversed immediately and your balance may become negative. Your account may be restricted until the dispute is resolved; credits are reinstated if the dispute is decided in your favor.
- Order credits (for canceled, failed or defective orders) are returned to your wallet as credits, not to your payment method.
To request a refund, contact support. [Insert any jurisdiction-specific consumer rights and processing timelines.]
6. Orders, production and shipping
You are responsible for the accuracy of orders you submit, including recipient addresses, products, quantities and artwork. Production and delivery times are estimates. Orders may be canceled only until production starts.
If an item arrives damaged, misprinted or materially different from the order, email support@swaglists.com within [30] days of delivery with the order number, the affected items and photos of each item and its shipping label. If we accept the claim, we credit your wallet with the amount charged for the affected items, including their share of shipping, and note the credit on the order; you can then reorder a replacement from the dashboard or the API. Items produced exactly as ordered (including low-resolution artwork you chose to submit) are not eligible. [Describe returns, lost parcels and address errors.]
7. Your content
You keep all rights in the artwork and content you upload and grant us a limited license to use it solely to provide the service (for example to generate print files and mockups and to produce your orders). You confirm you have all rights needed and that your content does not infringe anyone's rights or violate law.
We may refuse or cancel orders containing content that is illegal, infringing, hateful or otherwise prohibited by our acceptable-use rules.
8. API and acceptable use
You may access the service through our API using your API keys, subject to rate limits and the documentation. Do not attempt to circumvent limits or security controls, access other customers' data, or use the service to send unsolicited communications.
9. Prices and taxes
Product, printing and shipping prices are shown in your dashboard and API estimates and may change; the price that applies to an order is the one at the time the order is placed. You are responsible for taxes applicable to your sales to your own customers. [Describe sales-tax collection and exemptions.]
10. Suspension and termination
You may close your account at any time. We may suspend or terminate accounts that breach these Terms, present fraud or credit risk, or are required to be suspended by law. On closure, unused paid credits are handled as described in Section 5.
11. Disclaimers and limitation of liability
[To be drafted by counsel: warranty disclaimers, limitation of liability (for example, limited to amounts paid in the preceding 12 months), indemnification.]
12. Governing law and changes
These Terms are governed by the laws of [jurisdiction]. We may update these Terms; material changes will be notified by email or in the dashboard at least [30] days before they take effect.
